Terms of Service

1. Acceptance of these terms

These Terms of Service (the "Terms") form a legal agreement between you (the "Merchant", "you") and Simple Product Feeds, LLC ("we", "us", "our"). By installing, accessing, or using the Simple Product Feeds Shopify app (the "Service"), you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

You must be at least 18 years old and authorized to bind the Shopify shop you are installing the Service on.

2. Definitions

  • Service — the Simple Product Feeds Shopify app, available at apps.shopify.com/gmcfeed-shopify-app, including its embedded interface, public APIs, and supporting marketing site.
  • Merchant — a Shopify-shop operator who installs and uses the Service.
  • Shopify — Shopify Inc. and its affiliates.
  • Shop Data — the products, inventory, configurations, and other data the Service receives via Shopify's APIs as a result of your installation.
  • Output Feeds — the product feed files (CSV/TSV/XML) the Service generates from your Shop Data.

3. The Service

The Service syncs your Shopify product catalog into product feeds for advertising channels including Google Merchant Center, Meta, Microsoft Advertising, and Pinterest. Features include rules-based feed transformation, AI categorization, multi-language and multi-market feeds, channel-specific datafeed registration, and a public REST API.

We may modify, add, or remove features at any time. We will provide reasonable notice of material changes that adversely affect existing functionality.

4. Shopify integration

The Service is installed via Shopify's app installation flow. By installing, you grant us the access scopes the app declares at install time, which currently include:

  • read_products — to read your product catalog
  • read_inventory — to read inventory levels
  • Optionally, read_translations and read_locales — to support multi-language feeds

Your use of the Service is also governed by the Shopify Terms of Service and Shopify API Terms. To the extent of any conflict between these Terms and Shopify's terms regarding access to Shopify-provided data, Shopify's terms control.

5. Subscription plans and billing

The Service offers tiered subscription plans (Free, Starter, Growth, Premium) with different SKU limits, feed counts, and feature sets. Current pricing is published at simpleproductfeeds.com/pricing.

Paid subscriptions are billed through the Shopify Billing API and added to your Shopify invoice. By upgrading to a paid plan, you authorize Shopify to charge the applicable fees. Charges are non-refundable except where required by law or as expressly stated in these Terms.

You may cancel or downgrade your subscription at any time via the in-app Subscriptions page or by uninstalling the app. Cancellation takes effect at the end of the current billing period.

We may change subscription pricing or plan features with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Acceptable use

You agree not to:

  • Use the Service in violation of applicable law, the Shopify Partner Program agreement, or any third-party advertising channel's policies (e.g., Google Merchant Center, Meta Commerce Policies)
  • Attempt to reverse-engineer, decompile, or extract the Service's source code
  • Circumvent rate limits, API key restrictions, or scope-based access controls
  • Use the Service to transmit malware, unsolicited communications, or content that infringes third-party rights
  • Resell, sublicense, or rebrand the Service without our written permission
  • Use automated tools to scrape the Service's marketing site, documentation, or in-app data beyond the rate limits documented in our public API

7. Intellectual property

The Service, its source code, design, logos, documentation, and marketing materials are the exclusive property of Simple Product Feeds, LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms during your subscription term.

You retain ownership of your Shop Data. By using the Service, you grant us the limited license necessary to process Shop Data for the purpose of delivering the Service (generating feeds, syncing channels, providing support). We do not claim ownership over your products, content, or trademarks.

8. Third-party channels

The Service connects with third-party advertising channels (Google, Meta, Microsoft, Pinterest) at your direction. Your use of those channels is governed by the channels' own terms of service. We are not responsible for channel-side actions including approval, suspension, disapproval, or removal of your products. We pass through channel error messages and validation issues but do not guarantee channel acceptance of any feed.

9. Service availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages (Shopify, Heroku, AWS), and unexpected incidents may cause temporary disruption. We are not liable for damages resulting from such disruption.

Status, incidents, and maintenance windows are communicated through the in-app notification system or via email to the primary shop contact.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of feed data.

We do not warrant that the Service will meet your specific requirements, that feed exports will be free of errors, or that connected channels will accept your products. You are responsible for reviewing feed output before relying on it for live advertising campaigns.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Simple Product Feeds, LLC, its officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Service.

Our aggregate liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless Simple Product Feeds, LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party right, including any intellectual property right; (c) your Shop Data infringing the rights of any third party; or (d) your violation of applicable law.

13. Termination

You may terminate your use of the Service at any time by uninstalling the app from your Shopify shop. Termination takes effect immediately, though Shopify Billing may continue to invoice for the remainder of the current billing period.

We may suspend or terminate your access to the Service if you breach these Terms, including the Acceptable Use provisions, or if Shopify removes us from the Shopify App Store. Where feasible, we will provide notice and an opportunity to cure before termination.

Upon termination, your Shop Data is retained and then deleted as described in our Privacy Policy. Sections 7 (IP), 10 (Disclaimers), 11 (Liability), 12 (Indemnification), 14 (Governing law), and any other provisions that by their nature should survive termination, survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of Ohio, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to personal jurisdiction in those courts.

You waive any right to a jury trial and to participate in a class action against us. Any claim must be brought within one (1) year after it arises; thereafter it is permanently barred.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active merchants via email or in-app notification at least 30 days before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to uninstall the app.

16. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.
  • No third-party beneficiaries. These Terms do not create any rights for third parties, except that Shopify may enforce provisions that benefit it.
